Terms and Conditions

1. Acceptance of Terms

By accessing or using the services provided by Softexpoit Pvt. Limited ("we," "our," or "us"), you agree to be bound by these Terms and Conditions. If you disagree with these terms, please refrain from using our services.

2. Services

We offer custom software development services as well as ready-made software solutions. The specifics of the services, including deliverables, timelines, and costs, will be outlined in the project agreement between Softexpoit Pvt. Limited and the clients.

3. Client Responsibilities

Clients are responsible for providing accurate and complete information necessary for the custom software development process. Any delays caused by incomplete or inaccurate information may affect project timelines and costs.

4. Communication

Communication between Softexpoit Pvt. Limited and clients may occur through various channels, including but not limited to emails, WhatsApp, Skype, Linkedin, Facebook and Zoom/Google Meet/Our own developed platform meetings. Clients are responsible for keeping communication channels open and responding promptly.

5. Delivery & Payment Terms

Payment Terms

Payment terms will be outlined in the project agreement. Softexpoit Pvt. Limited reserves the right to suspend or terminate services for non-payment. In case of late payments, additional fees may apply.

After successful delivery of the software or solutions, clients are required to fulfill any outstanding payment obligations and complete any necessary post-delivery actions as will be specified in the agreement.

Delivery Terms

a. Delivery of Software or Solutions:

Softexpoit Pvt. Limited will make reasonable efforts to deliver the complete software or solutions to the client within the agreed-upon timeframe will be specified in the project agreement.

b. Delivery Method:

The delivery will be conducted electronically unless otherwise agreed upon. Softexpoit Pvt. Limited will provide the client with access to download/install the software or solutions through a secure and agreed-upon channel.

c. Acceptance of Delivery:

Upon delivery, the client is responsible for promptly inspecting and testing the delivered software or solutions. Any discrepancies or issues should be reported to Softexpoit Pvt. Limited within a reasonable timeframe as will be specified in the project agreement.

d. Delivery Completion:

Before the final delivery, we will provide you with access to testing versions of the application, allowing you to explore its features and functionalities. This hands-on testing phase is designed to empower you to assess the software thoroughly, ensuring it aligns seamlessly with your business needs. Subsequently, upon your approval and satisfaction, we will conduct a comprehensive handover, delivering the finalized software along with all necessary resources for your team to effectively utilize and manage the application within your business operations.

e. Delivery Obligations:

Softexpoit Pvt. Limited's obligation to deliver is subject to the client's fulfilment of any payment obligations and other requirements specified in the agreement.

f. Transfer of Risk:

The risk of loss or damage to the software or solutions transfers to the client upon delivery.

6. Intellectual Property

Upon full payment, clients will own the intellectual property rights only to the specific solution of the custom software, applications, platforms, or systems developed by Softexpoit Pvt. Limited for clients' business use. The following ownership structure applies:

a. Ownership of Software, Apps, Platforms, or Systems Developed for Clients:

The clients shall have 100% ownership of the specific solutions of the software, applications, platforms, Server, Cloud or systems, including any customized versions developed for their business only.
Softexpoit Pvt. Limited will not claim any ownership or access rights to the specific solutions of the software, applications or systems as well as connected/integrated Servers, cloud and gateways which are developed for or delivered or sold to the clients.

b. Ownership Limitation for Softexpoit:

Softexpoit Pvt. Limited retains 100% full ownership of the core software models/apps or core backend/server architecture or core System/Platforms that are not connected to any clients' brands, software, apps, platforms, servers, clouds, gateways or system instances/specific solutions.

c. Clients' Software, Apps, Platforms, or Systems:

The clients maintain 100% ownership and control only over their specific solutions of the software, applications, platforms, or systems, including any components connected directly to their specific solutions of the Software, Server, Cloud, or Platform.
Softexpoit Pvt. Limited disclaims any ownership or access rights to the specific solutions that are delivered to or developed for the clients' business (specific solutions e.g software, apps, platforms, and system instances , etc which are developed for the clients as well as any infrastructure, including cloud services, servers, and related components owned by the clients ).

d. Clients’ Ownership Limitation: The clients can use their specific solutions of the developed custom software or ready-made software/solutions for their business operations, purposes , usage or offer any-type subscriptions or Services (only for SAAS), etc to their users/customers/clients or end users or end business-users without any type of restrictions as they have the 100% ownership of their specific solutions of the Software/Platforms/Systems, etc.

However, the clients are explicitly and strictly prohibited from re-selling the source code or generating another new solutions (using their specific solutions : e.g: new branding, new name, new software model) of the developed software/platform/solutions to re-sell to any third party (ownership re-sell) without informing Softexpoit Pvt. Limited.

e. Subscription Sales: The clients are permitted to sell the subscriptions or Services (As a SAAS/Software-As-A-Service Company or Any company) of their specific SAAS solutions to their end-users/customers/users/clients, etc allowing them access to the software's functionalities.

f. Softexpoit's Ownership: Softexpoit Pvt. Limited retains 100% ownership of the core software model or core backend/server architecture or core Systems/Platforms. The clients' ownership rights are limited to their specific solutions of the software/custom software/systems/server/clouds etc only which are developed & delivered/Sold to them by Softexpoit.

g. Softexpoit's Resale Rights:

Softexpoit Pvt. Limited reserves the exclusive right to:
* Sell ownership/license of new instances of the software solutions to other parties also. (it will be new solutions/instances of the software/custom software/platforms/systems/backends etc with other parties’ branding, modifications, cloud & server etc which will be fully isolated and new branded from any other specific software solutions which are sold)
* Modify the core software/ platforms, including changing names, brands, features, and designs, and sale to other parties with other parties' servers or cloud infrastructure. (which will be fully isolated and newly branded from any other specific software solutions which are sold)

7. Maintenance and Support

a. Client Responsibility:

Clients are responsible for the regular maintenance and support of their specific software, applications, platforms, or system solutions delivered to them, including associated cloud services, servers, and related components.

b. Softexpoit's Role:

If clients request/purchase Softexpoit’s maintenance or support plans, Softexpoit Pvt. Limited may, with the clients' full permission, access the clients' software, apps, platforms, or systems and related cloud services, servers, and components to perform necessary maintenance or support services only. The clients will share the login credentials for these (if required).

c. Temporary Access:

Softexpoit Pvt. Limited may require temporary access to the clients' specific software, apps, platforms, or systems and associated cloud services, servers, and components for the sole purpose of providing maintenance or support if clients request or purchase any support plan from Softexpoit.

d. Ownership Retained:

While Softexpoit Pvt. Limited may access the clients' software, apps, platforms, or systems and associated cloud services, servers, and components for maintenance or support, 100% ownership and control remain with the clients for their specific solutions/instances/servers, etc.

e. Delivery after Maintenance or Support:

After completing maintenance or support activities, Softexpoit Pvt. Limited will re-deliver the clients' software, apps, platforms, or systems and associated cloud services, servers, and components to the respective clients promptly. As the maintenance or support session ends, Softexpoit will not have any access again. But the Clients can purchase a long-term support plan, so for that case only, Softexpoit will have access with the clients' permissions until the support plan ends. The clients retain 100% ownership of their specific solutions/products at all times.

8. Confidentiality

Both Softexpoit Pvt. Limited and clients agree to keep confidential all non-public information shared during the course of the project. This includes project details, trade secrets, and information related to the software, apps, platforms, or systems, and the client's infrastructure, including cloud services, servers, and related components.

[ The clients can not sell/share source codes with 3rd parties without informing Softexpoit ]

9. Limitation of Liability

Softexpoit Pvt. Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the services provided.

10. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or related to these terms shall be resolved in the appropriate courts of England and Wales.

11. Amendments

Softexpoit Pvt. Limited reserves the right to amend these Terms and Conditions at any time. Clients will be notified of any changes, and continued use of our services implies acceptance of the updated terms.
